End User License Agreement (EULA)

IMPORTANT: PLEASE READ THIS END USER LICENSE AGREEMENT ("EULA") CAREFULLY BEFORE INSTALLING OR USING THE EKOGNI DESKTOP APPLICATION.
This EULA is a legal agreement between you (either an individual or a single entity) and Ekogni for the Ekogni desktop application software, which includes computer software and may include associated media, printed materials, and online or electronic documentation (collectively, the "Software").
BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. If you do not agree to the terms of this EULA, do not install or use the Software.
1. Grant of License
1.1 License Grant
Subject to your compliance with this EULA and payment of applicable subscription fees (as outlined in our Terms of Service), Ekogni grants you a limited, non-exclusive, non-transferable, revocable license to:
- Download, install, and use the Software on devices you own or control (computers, laptops)
- Use the Software for your personal educational purposes (personal license) or institutional educational purposes (institutional license)
- Receive automatic updates and patches to the Software
1.2 License Type
Personal License: If you have purchased a personal license, you may install the Software on up to 3 devices that you personally own or control.
Institutional License: If you are using the Software under an institutional (school) license, you may install the Software on devices owned or controlled by the educational institution. Teachers may install the Software on school-owned computers and their personal devices for work purposes.
1.3 License Duration
This license is valid for the duration of your active subscription. If your subscription expires or is terminated, this license automatically terminates, and you must immediately cease using the Software and uninstall it from all devices.
2. Restrictions
You agree NOT to:
2.1 Reverse Engineering
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
- Use any tools to extract, modify, or analyze the Software's code or functionality
- Attempt to bypass, disable, or circumvent any security features or licensing mechanisms
2.2 Modification and Derivative Works
- Modify, adapt, translate, or create derivative works based on the Software
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices from the Software
- Merge the Software with other software or create combinations that violate this EULA
2.3 Distribution and Transfer
- Rent, lease, lend, sell, sublicense, or otherwise transfer rights to the Software to any third party
- Distribute copies of the Software (including installation files) to others outside your institution
- Use the Software to provide software-as-a-service (SaaS) or hosted services to third parties
Note for Institutional Licenses: Schools may install the Software on multiple devices within their institution (computer labs, teacher computers). However, each user must have their own individual account - account credential sharing is strictly prohibited. Installing the Software on networked devices does NOT authorize sharing of login credentials between users.
2.4 Unauthorized Use
- Use the Software for any illegal, harmful, or unauthorized purpose
- Use the Software to create a competing product or service
- Share your account credentials with others or allow unauthorized users to access your account (each user must create and use their own account)
- Use the Software in a manner that violates our Terms of Service or Acceptable Use Policy
3. Intellectual Property Rights
3.1 Ownership
The Software is licensed, not sold. Ekogni and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. This EULA does not grant you any rights to trademarks, service marks, or trade names of Ekogni.
3.2 User Content Ownership
Personal Licenses: You retain full ownership of all exams, questions, and content you create using the Software under a personal license.
Institutional Licenses: Content created by teachers using the Software under an institutional license belongs to the educational institution that purchased the license. When a teacher leaves the institution, the content they created using the institution's license remains with the school.
3.3 Feedback and Suggestions
If you provide Ekogni with feedback, suggestions, or ideas about the Software, you grant Ekogni a perpetual, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Software without compensation or attribution to you.
4. Updates and Maintenance
4.1 Automatic Updates
The Software may automatically download and install updates, patches, and new versions to:
- Fix bugs and security vulnerabilities
- Add new features or improve existing ones
- Ensure compatibility with our online services
- Maintain compliance with platform requirements (Windows, macOS)
You consent to such automatic updates. If you do not wish to receive automatic updates, you must uninstall the Software.
4.2 End of Support
Ekogni reserves the right to discontinue support for older versions of the Software. We will provide reasonable notice (at least 90 days) before ending support for a major version. You may be required to update to a newer version to continue using the Service.
5. Offline Functionality
5.1 Internet Requirements
The Software is designed to work offline after initial setup. However, you will need an internet connection for:
- Initial installation and account activation
- Downloading exam content from the cloud
- Uploading exam results to the cloud
- Receiving automatic updates
- Verifying your subscription status (periodic online checks)
5.2 Offline Limitations
When using the Software offline:
- You can administer exams to students without an internet connection
- Exam data is stored locally on the device until you reconnect to the internet
- Some features (such as importing questions from online sources) may not be available
- You must periodically connect to the internet to verify your subscription status (at least once every 30 days)
6. System Requirements
6.1 Windows
- Operating System: Windows 10 or later (64-bit)
- Processor: Intel Core i3 or equivalent
- RAM: 4 GB minimum, 8 GB recommended
- Storage: 500 MB available space
- Display: 1280x720 resolution or higher
6.2 macOS
- Operating System: macOS 10.15 (Catalina) or later
- Processor: Intel or Apple Silicon (M1/M2)
- RAM: 4 GB minimum, 8 GB recommended
- Storage: 500 MB available space
- Display: 1280x720 resolution or higher
6.3 Internet Connection
- Required for initial setup, updates, and periodic verification
- Minimum 1 Mbps download speed recommended
7. Data Collection and Privacy
The Software collects certain data to provide functionality and improve the Service. Data collection is governed by our Privacy Policy. By using the Software, you consent to:
- Collection of usage data (features used, errors encountered)
- Transmission of exam data to our servers for storage and synchronization
- Periodic verification of your subscription status via internet connection
- Automatic crash reports to help us fix bugs
8. Termination
8.1 Termination by You
You may terminate this EULA at any time by:
- Uninstalling the Software from all devices
- Canceling your subscription (as described in our Terms of Service)
- Deleting all copies of the Software in your possession
8.2 Termination by Ekogni
Ekogni may terminate this EULA immediately if:
- You violate any terms of this EULA or our Terms of Service
- Your subscription expires or payment fails
- You engage in unauthorized use, reverse engineering, or distribution of the Software
- We discontinue the Software (with 30 days' notice)
8.3 Effect of Termination
Upon termination:
- Your license to use the Software immediately terminates
- You must immediately cease all use of the Software
- You must uninstall the Software from all devices
- You must delete all copies of the Software in your possession
- Locally stored exam data may become inaccessible (we recommend exporting your data before termination)
9. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Ekogni does not warrant that:
- The Software will be error-free, uninterrupted, or free from bugs
- The Software will work on all devices or operating systems
- Offline functionality will work in all circumstances
- Automatic grading will be 100% accurate
- The Software will meet your specific requirements or expectations
- Data loss will never occur (you are responsible for backing up your data)
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EKOGNI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SOFTWARE, INCLUDING BUT NOT LIMITED TO:
- Loss of data or exam content
- Inability to use the Software during critical exam periods
- Errors in automatic grading or exam administration
- Damage to your device or other software
- Loss of profits, revenue, or business opportunities
EKOGNI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THIS EULA SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR SUBSCRIPTION IN THE 12 MONTHS PRECEDING THE CLAIM, OR ₦50,000, WHICHEVER IS LESS.
11. Indemnification
You agree to indemnify, defend, and hold harmless Ekogni from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your violation of this EULA or our Terms of Service
- Your unauthorized modification, distribution, or use of the Software
- Content you create or upload using the Software that infringes third-party rights
- Your use of the Software in violation of applicable laws
12. Export Restrictions
The Software may be subject to export control laws and regulations. You agree not to export or re-export the Software to any country, person, or entity in violation of Nigerian or international export laws.
13. Governing Law and Dispute Resolution
13.1 Governing Law
This EULA shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
13.2 Dispute Resolution
Any disputes arising from this EULA shall be resolved in accordance with the dispute resolution procedures outlined in our Terms of Service, including good-faith negotiation, arbitration, and jurisdiction in Lagos State, Nigeria.
14. Entire Agreement
This EULA, together with our Terms of Service, Privacy Policy, and Acceptable Use Policy, constitutes the entire agreement between you and Ekogni regarding the Software and supersedes all prior agreements and understandings.
15. Severability
If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
16. Changes to This EULA
Ekogni may update this EULA from time to time. If we make material changes, we will notify you via email or through an in-app notification. Your continued use of the Software after such notification constitutes acceptance of the updated EULA. If you do not agree to the updated EULA, you must uninstall the Software and cancel your subscription.

By installing or using the Ekogni desktop application, you acknowledge that you have read, understood, and agree to be bound by this End User License Agreement.
